NEXAS Fundamentals

NEXAS is a permissioned, closed-loop business-to-business settlement network that connects healthcare organizations with the suppliers who serve them. It runs on Hyperledger Fabric — enterprise-grade, institutional-quality distributed ledger infrastructure used by some of the largest organizations in the world — and it settles transactions using a digital unit whose value is tied not to market trading, but to something real: the verified annual economic output of the United States physician workforce.

That distinction matters. Every digital asset you have heard of derives its value from what people are willing to pay for it at a given moment — a number that can collapse overnight. NEXAS units derive their value from an independently modeled, annually recalibrated economic index produced by IMPLAN, the same input-output modeling platform used by academic institutions, state governments, and the federal government to measure real economic activity. The index is not set by NEXAS. It is not set by any single organization. It is the aggregate output of more than 850,000 physicians, their patients, their employers, and the secondary industries those relationships support — an economic reality that exists entirely independent of whether this network exists at all.

The result is a unit of value that does not speculate, does not fluctuate with market sentiment, and cannot be manipulated by trading volume. It is, by design, the opposite of cryptocurrency.

NEXAS operates on two layers.

Layer 1 — Healthcare Organizations. Qualifying healthcare entities — hospitals, clinics, blood banks, community health organizations, and organizations addressing social determinants of health — receive a free annual allocation of NEXAS units, sized to a documented, verified capital or quality-improvement need. They do not purchase these units. They receive them because closing the rural healthcare funding gap is the mission the network was built to serve.

Layer 2 — Suppliers. Businesses that supply goods and services to the healthcare sector — equipment vendors, technology providers, vehicle suppliers, and similar — participate by accepting NEXAS units as payment for real goods and services. They earn units through commerce, not through speculation.

The settlement mechanic is straightforward: because NEXAS units are denominated in U.S. dollars at the current index value, pricing requires no negotiation and no conversion complexity. A supplier prices in dollars as they always would. The number of units transferred is simply that dollar amount divided by the current index reading. There is no open market, no exchange, and no price discovery — the index is always the only valid settlement figure.

Layer 1 organizations spend their free allocation with Layer 2 suppliers on the capital equipment and infrastructure upgrades they need. Layer 2 suppliers recirculate units with other Layer 2 businesses, or spend them back into qualifying healthcare services. Real capital reaches the facilities that need it. No cash changes hands for those transactions.

The Tax Architecture

The network’s velocity — its continuous circulation of units rather than speculative holding — is driven not by a rule but by the tax structure itself.

Units received by a participating organization are recognized as ordinary income at the index value on the date of receipt. If those units are spent within the same tax year on qualifying bonus-depreciable business expenses — capital equipment, technology, infrastructure — the resulting depreciation deduction offsets the income recognized on receipt. The net tax position approaches neutral. Holding units across an annual revaluation, by contrast, produces a second taxable event with no offsetting benefit, because there is no open market in which to realize a price gain. Spending is unambiguously the rational choice. The system incentivizes continuous, productive circulation through the tax code — not through expiration rules or artificial constraints.

What NEXAS is Not

NEXAS is not a cryptocurrency. It has no mining, no staking, no yield farming, and no open secondary market. Its value does not respond to trading volume. It cannot be manipulated by a concentrated sell-off. It is not a stablecoin — it carries no redemption promise and no fixed monetary peg. It is not a security — its value is generated by the independent economic activity of an entire workforce, not by the managerial or promotional efforts of any issuer. It is not a payment token. It is a permissioned settlement instrument, purpose-built for a specific economic function in a specific sector.

The original whitepaper designated NEXAS the first NEXFT — Non-Participatory Externally Valued Fungible Token — because no existing category accurately described what it is. The label is precise: the network does not participate in generating the value it tracks, and no participant in the network can.

The Organization Behind It

NEXAS is administered through a two-entity structure. The Bolton-Strid Foundation, a nonprofit, controls the issuance, governance, and mission-aligned distribution of units to Layer 1 participants. The Bolton-Strid Corporation, a for-profit affiliate, funds and sustains the Hyperledger Fabric infrastructure through commercial revenue — so the network remains free to operate for healthcare participants by design.

The Foundation is the majority shareholder of the Corporation. Control of the network’s mission-critical functions remains with the Foundation. The Corporation does not hold a vote or influence over those functions.

Why It Matter

The rural healthcare crisis is not a problem that philanthropy alone will solve, and it is not a problem that federal programs — structurally limited and subject to the political cycle — have solved. NEXAS does not ask healthcare organizations to wait for a grant, take on debt, or compete for a shrinking pool of public funds. It gives them a funding source tied to something that grows independently, recirculates productively, and requires no ongoing margin to sustain.

Every unit that moves through the network creates a documented capital investment in a facility that needed it. Every audit of the network’s transaction data produces a picture of rural healthcare capital needs that no other data source currently captures. Deployed at scale, NEXAS is not just a settlement rail. It is the first operational mechanism capable of generating real, verified, aggregate data on the capital infrastructure gap in American healthcare — from inside the system, in real time, at the transaction level.

That data does not currently exist. NEXAS builds it as a byproduct of doing its primary job.
